• The Service – The Prompt Review software, operated by 2M Endeavors LLC, which enables businesses to request customer feedback via Google Reviews or similar platforms. The Service is provided through a web-based application and integrates with third-party SMS providers to send messages.
• User – Any individual or business entity that registers for or uses the Service.
• End Recipient – The customer or individual who receives an SMS review request sent via the Service.
• 2M Endeavors LLC – The legal entity that owns and operates the Service.
• Third-Party Providers – Companies or services (e.g., Twilio) that we integrate with to provide functionality such as SMS messaging.
2. Eligibility
To use The Service, you must:
• Be at least 18 years old and legally able to enter into a contract.
• Provide accurate and complete account information.
• Use The Service only for lawful purposes in compliance with the Acceptable Use Policy (AUP).
We reserve the right to refuse service to anyone for any reason at any time.
3. Acceptable Use & Compliance
By using The Service, you agree to:
• Obtain proper consent from all End Recipients before sending SMS review requests.
• Comply with all applicable laws, including but not limited to:
- The Telephone Consumer Protection Act (TCPA) – Requires express consent before sending SMS messages to consumers.
- The CAN-SPAM Act – Governs compliance for commercial messaging.
- The General Data Protection Regulation (GDPR) (if applicable) – Requires explicit consent for processing personal data of EU residents.
• Only use The Service for legitimate customer feedback collection (not for marketing, promotional, or advertising purposes).
• Follow the rules outlined in our Acceptable Use Policy (AUP). Violations of the AUP may result in account suspension or termination.
4. Account Registration & Security
• You are responsible for maintaining the security of your account and password.
• You must immediately notify us of any unauthorized access or security breaches.
• We are not liable for any loss resulting from unauthorized use of your account.
5. Payment & Subscription Terms
If The Service is offered as a paid subscription, the following terms apply:
• Billing: You will be billed on a recurring basis (monthly or annually, as selected).
• Payment Methods: You must provide a valid payment method, and you authorize us to charge it automatically.
• Price Changes: We reserve the right to change pricing with 30 days’ notice.
• Late Payments: Failure to pay may result in account suspension or termination.

6. Termination & Account Suspension
We may suspend or terminate your access to The Service if:
• You violate these Terms, the AUP, or applicable laws.
• We detect unauthorized use or security issues.

7. Data Privacy & Security
• We collect, store, and process User data in accordance with our Privacy Policy.
• We do not sell or share your personal data with third parties except as required for The Service (e.g., Twilio for SMS messaging).
• Users are responsible for ensuring their use of The Service complies with all data protection laws.
• By using The Service, you agree to our Privacy Policy, which explains how we handle personal data.
8. Third-Party Services
• We integrate with third-party services (e.g., Twilio for SMS messaging).
• We do not control these services and are not responsible for their availability, security, or compliance.
• Users must agree to and comply with third-party terms when using integrated services.
9. Limitation of Liability
To the fullest extent permitted by law:
• 2M Endeavors LLC is not liable for any direct, indirect, incidental, or consequential damages arising from your use of The Service.
• We do not guarantee The Service will be uninterrupted or error-free.
• You use The Service at your own risk.
10. Indemnification
You agree to indemnify, defend, and hold harmless 2M Endeavors LLC, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses (including legal fees) resulting from:
• Your violation of these Terms, the AUP, or applicable laws.
• Any misuse or unauthorized use of The Service.
11. Dispute Resolution
• Any disputes must first be resolved through informal negotiation by contacting support@promptreview.com.
• If unresolved, disputes will be submitted to binding arbitration in New York State, under the laws of New York State.
• You waive your right to participate in class-action lawsuits against 2M Endeavors LLC.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. Any changes will be posted on our website. Continued use of The Service after changes are posted constitutes acceptance of the updated Terms.
